Like a marriage between your company and your investors, a term sheet dictates who gets what financially, and who gets to do what legally by outlining the “conditions” for an investment from an agreed upon valuation of the company and the price per share for the investment to the economic rights of those new shares.

George Colindres is senior counsel with the Corporate practice and Emerging Companies & Venture Capital practice in the Los Angeles and San Diego Perkins Coie offices.
